1. Agreement to Terms

By creating an account, joining the waitlist, or using NUMI in any capacity, you ("you" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and NumentAI ("we," "us," "our," or "the Company").

If you do not agree to these Terms, do not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time.

2. Description of Service

NUMI is a generative-AI-powered personal general wellness tool that helps users understand health patterns, track lifestyle factors, and receive personalized wellness observations. The Service may include:

AI-powered health pattern analysis and wellness observations
Nutrition, sleep, activity, and symptom tracking
Integration with wearable devices and health data platforms
Organ-level health visualization
Chat-based interaction with an AI assistant

NUMI is a general wellness tool, not a healthcare provider. See Section 3 and Section 3A for the complete health disclaimer and intended-use boundary.

3. Health and Medical Disclaimer

THE SERVICE IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION. NEVER DISREGARD PROFESSIONAL MEDICAL ADVICE OR DELAY IN SEEKING IT BECAUSE OF INFORMATION PROVIDED THROUGH THE SERVICE.

IF YOU THINK YOU MAY HAVE A MEDICAL EMERGENCY, CALL YOUR DOCTOR OR LOCAL EMERGENCY SERVICES IMMEDIATELY. NUMI DOES NOT PROVIDE EMERGENCY MEDICAL SERVICES AND IS NOT DESIGNED FOR USE IN MEDICAL EMERGENCIES.

NUMI IS NOT AN FDA-CLEARED OR APPROVED MEDICAL DEVICE. NUMI DOES NOT DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE OR MEDICAL CONDITION.

You acknowledge that:

NUMI provides general wellness information and AI-generated observations, not medical advice.
The information provided by NUMI is for educational and informational purposes only.
NUMI is not a licensed healthcare provider, and no doctor-patient or provider-patient relationship is created by using the Service.
Health-related content in the Service has not been evaluated or approved by the FDA, any medical board, or any healthcare regulatory body.
You should consult with qualified healthcare professionals before making any changes to your diet, exercise regimen, supplement intake, medication, or health routine based on information from the Service.

3A. Intended Use, Boundaries, and Generative AI Disclosure

3A.1 What NUMI is, technically

NUMI is powered by generative artificial intelligence, including large language models (LLMs). These models produce probabilistic, non-deterministic outputs: the same input may produce different responses, and any response may be incomplete, inaccurate, biased, internally inconsistent, or fabricated (an effect commonly called "hallucination" or "confabulation"). No generative AI system, including NUMI, can guarantee the truthfulness, completeness, or appropriateness of any specific output. By using NUMI, you acknowledge and accept this technical reality.

3A.2 Intended use (FDA General Wellness)

NUMI is intended to function as a general wellness tool within the meaning of the FDA's General Wellness Policy (FDA-2014-N-1039). It is not intended, not designed, and not authorized to function as Software as a Medical Device (SaMD), a clinical decision-support tool, a diagnostic device, a therapeutic device, or any function reserved by law to a licensed health professional. NUMI has not been evaluated or cleared by the FDA, and no statement made by NUMI has been evaluated by the FDA.

3A.3 Behaviors NUMI is designed and instructed not to perform

NUMI is designed, instructed, and continually tuned not to:

Diagnose, screen for, or rule out any disease, disorder, or condition, or output ICD-10 codes, clinical impressions, or "you have / you may have" statements.
Recommend, prescribe, contraindicate, dose, start, stop, change, or interpret any prescription medication, over-the-counter medication, supplement, vaccine, or controlled substance.
Interpret lab results, imaging, pathology, genetic tests, biomarkers, or any clinical diagnostic data.
Triage medical emergencies or detect time-critical events including but not limited to stroke, myocardial infarction, anaphylaxis, overdose, severe bleeding, sepsis, or diabetic ketoacidosis.
Provide mental-health crisis intervention, psychotherapy, counseling, or any clinical mental-health service.
Treat, manage, or advise on the management of: pregnancy, fertility decisions, pediatric care, eating disorders, substance-use disorders, suicidal ideation, self-harm, psychosis, diabetes, cardiac conditions, cancer, immune disorders, infectious disease, or any condition for which a professional standard of care exists.
Replace professional consultation, physical examination, diagnostic testing, or clinical judgment.

3A.4 No warranty that the AI will always behave as intended

Because NUMI is generative, we do not and cannot warrant that the Service will always operate within §3A.3. From time to time, the Service may produce output that appears to perform one of the prohibited functions. Such output is, by definition, outside NUMI's intended function and constitutes a malfunction. It does not represent advice, recommendation, opinion, or determination of NumentAI, and you are not entitled to rely on it.

3A.5 Your covenant — you will not use NUMI for these purposes

As a material condition of using the Service, you agree that you will not, and you will not permit any other person to:

(a) use NUMI for any of the purposes listed in §3A.3;
(b) treat any NUMI output as medical advice, diagnosis, treatment, or professional opinion, even if the output presents itself in those terms;
(c) make, change, withhold, delay, or forgo any medical decision — including any decision regarding medication, treatment, testing, or seeking emergency care — in reliance on NUMI output;
(d) input information about another identifiable person, or use NUMI to evaluate another person's health.

You acknowledge that any breach of this Section 3A.5 is your decision and your responsibility, and you assume all risk arising from such use.

3A.6 If you encounter prohibited output

If NUMI produces output that appears to perform any function described in §3A.3:

Do not act on it.
Treat it as a malfunction.
Report it to hello@nument.ai with the subject line "AI Safety Report" so we can improve our guardrails.

3A.7 Emergencies

NUMI is not for emergencies. If you are experiencing or may be experiencing a medical emergency, call 911 or your local emergency number. If you are experiencing a mental-health crisis, suicidal ideation, or self-harm urges, call or text 988 (US Suicide & Crisis Lifeline) or 741741 (Crisis Text Line). NUMI cannot detect, monitor, or respond to emergencies.

4. Generative AI and AI-Generated Content

NUMI is powered by generative artificial intelligence, including large language models (LLMs), used to analyze your data and generate personalized wellness observations. You acknowledge and agree that:

Outputs are probabilistic and non-deterministic. The same input may produce different responses across sessions. The same model may produce inconsistent answers to closely related questions. This is an inherent property of generative AI, not a defect.
Outputs may be wrong. Generative AI may produce content that is inaccurate, incomplete, internally inconsistent, biased, contextually inappropriate, or fabricated — an effect commonly called "hallucination" or "confabulation." No safeguard, including ours, can fully eliminate this.
AI is not a substitute for human judgment. You are solely responsible for evaluating and acting (or not acting) upon any information provided by NUMI.
AI does not know your full medical context. NUMI operates on the data you provide and patterns derived from it. It does not have access to your complete medical records, prescriptions, lab results, imaging, or genetic information unless you specifically input that information — and even then, NUMI is not designed or authorized to interpret it (see §3A).
AI outputs are not medical determinations. Any reference to health conditions, symptoms, or organ function is a general wellness observation, not a clinical finding, and is subject to the boundaries set out in §3A.
Models change. We may update, retrain, replace, or reconfigure the AI models, system prompts, and guardrails used in the Service at any time. This may result in different outputs for the same inputs and is not a breach of these Terms.

We strongly recommend sharing any NUMI output with a qualified healthcare professional before acting on it. NUMI is designed to complement — never replace — professional medical care. See §3A for the complete intended-use boundary.

5. Your Account

You must be at least 18 years old to create an account and use the Service.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to provide accurate, current, and complete information during registration and to keep it updated.
Each account is for a single individual. Do not share your account or enter health data belonging to another person.
You must notify us immediately at hello@nument.ai if you believe your account has been compromised.

6. Acceptable Use

You agree to use the Service only for lawful, personal, non-commercial wellness purposes. You may not:

Use NUMI in violation of §3A (Intended Use, Boundaries, and Generative AI Disclosure), including for any of the prohibited functions in §3A.3 or in breach of your covenant under §3A.5
Rely on NUMI for medical emergencies or time-sensitive health decisions
Reverse-engineer, decompile, disassemble, or attempt to extract the source code, algorithms, or AI models of the Service
Collect health data on behalf of third parties, including employers, insurers, or data brokers
Circumvent security measures, access controls, rate limits, or authentication mechanisms
Use the Service to harass, defame, or harm others
Resell, sublicense, or commercially exploit the Service or its outputs
Submit false, misleading, or malicious data to manipulate AI outputs
Use automated bots, scrapers, or other tools to access the Service

7. Intellectual Property

Our property: The Service, including its design, code, AI models, algorithms, text, graphics, and user interface, is owned by NumentAI and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.
Your data: You retain full ownership of the personal data and health data you provide to NUMI. By using the Service, you grant us a limited, non-exclusive, revocable license to process your data solely for the purpose of providing the Service to you.
Trademarks: "NUMI" and "Nument.ai" are trademarks of NumentAI. You may not use them without prior written permission.
Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, royalty-free, worldwide license to use, modify, and incorporate such feedback without compensation or attribution.

8. Subscriptions and Payments

NUMI may offer free and paid subscription tiers. If you purchase a paid subscription:

Subscription fees are billed in advance on a recurring basis (monthly or annually) through the applicable app store (Apple App Store, Google Play) or our payment processor.
Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.
You may cancel your subscription at any time through the app store or your account settings. Cancellation takes effect at the end of the current billing period.
Refunds are subject to the refund policies of the applicable app store. For direct purchases, we do not offer refunds for partial billing periods.
We reserve the right to change subscription pricing with at least 30 days' notice to existing subscribers. Price changes apply to the next billing cycle after the notice period.

9. Service Availability and Modifications

We strive to maintain reliable service but do not guarantee uninterrupted, error-free, or continuous availability. We may:

Perform scheduled or emergency maintenance that temporarily limits functionality
Update, modify, add, or remove features at any time
Suspend or discontinue the Service (or any part of it) with reasonable notice
Limit or throttle usage in response to unusual activity or system load

We are not liable for any loss or damage arising from service interruptions, downtime, or modifications.

9A. No Guarantee of Results

NUMI does not guarantee any specific health outcomes, improvements, or results from using the Service. Individual health outcomes depend on numerous factors outside our control, including genetics, pre-existing conditions, medication interactions, environmental factors, and adherence to professional medical advice. Any testimonials, case studies, or examples of health improvements are individual experiences and should not be interpreted as typical or guaranteed results.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE AI-GENERATED INSIGHTS, RECOMMENDATIONS, OR OBSERVATIONS WILL BE ACCURATE, RELIABLE, COMPLETE, OR APPROPRIATE FOR YOUR INDIVIDUAL CIRCUMSTANCES; (D) ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT GENERATIVE AI OUTPUTS WILL BE TRUTHFUL, ACCURATE, COMPLETE, CONSISTENT, NON-INFRINGING, OR FREE OF HALLUCINATION OR CONFABULATION. YOU ACKNOWLEDGE THAT GENERATIVE AI IS PROBABILISTIC AND NON-DETERMINISTIC, THAT WE CANNOT GUARANTEE THE SERVICE WILL ALWAYS OPERATE WITHIN THE INTENDED-USE BOUNDARIES SET OUT IN §3A, AND THAT ANY OUTPUT THAT APPEARS TO CROSS THOSE BOUNDARIES IS A MALFUNCTION ON WHICH YOU MAY NOT RELY (§3A.4–3A.6).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NUMENTAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, DATA, USE, GOODWILL, HEALTH, PHYSICAL INJURY, EMOTIONAL DISTRESS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY AI-GENERATED CONTENT, RECOMMENDATION, OR OBSERVATION PROVIDED THROUGH THE SERVICE; (C) ANY HEALTH DECISION OR ACTION TAKEN BASED ON INFORMATION FROM THE SERVICE; (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (E) ANY THIRD-PARTY CONDUCT ON THE SERVICE; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

12. Assumption of Risk

By using the Service, you expressly acknowledge, understand, and agree that:

Health and wellness activities carry inherent risks, including the risk of physical injury, illness, or death.
You are solely responsible for any decisions, actions, or omissions you make based on information provided by the Service, including AI-generated observations.
You will consult a qualified healthcare professional before making changes to your diet, exercise routine, supplement intake, medication, sleep habits, or any other health-related behavior based on NUMI's observations.
NUMI's AI may produce inaccurate, incomplete, contradictory, or contextually inappropriate observations, and you assume the risk of relying on such outputs.
You will not hold NumentAI responsible for any adverse health outcomes, injuries, or damages resulting from your reliance on the Service without independent medical consultation.
NUMI does not monitor your health in real time and cannot detect medical emergencies.
You acknowledge §3A and your covenant under §3A.5, and you assume all risk arising from any breach of that covenant.

13. Data Security and Breach

We implement commercially reasonable security measures to protect your data, including encryption in transit and at rest, access controls, and regular security assessments. However:

No system is 100% secure. While we take extensive measures to protect your data, we cannot guarantee that unauthorized access, data breaches, hacking, system failures, or other security incidents will never occur. By using the Service, you acknowledge and accept this inherent risk of digital systems.

In the event of a data breach affecting your personal information, we will:

Notify affected users as promptly as practicable, and in any event within the timeframes required by applicable law (including the FTC Health Breach Notification Rule)
Notify relevant regulatory authorities as required by law
Take reasonable steps to contain and remediate the breach
Provide information about what data was affected and steps you can take to protect yourself

To the extent permitted by applicable law, our liability for data security incidents is subject to the limitations set forth in Section 11.

14. Indemnification

You agree to indemnify, defend, and hold harmless NumentAI, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Service
Your violation of these Terms
Your reliance on AI-generated output in breach of §3A.5, including health decisions or actions you take based on such output
Health decisions or actions you take based on information from the Service
Your violation of any applicable law or regulation
Any data or content you submit to the Service

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at hello@nument.ai and attempt to resolve any dispute informally for at least 30 days.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, you and NumentAI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator.

15.3 Class Action Waiver

YOU AND NUMENTAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

15.4 Opt-Out

You may opt out of the arbitration agreement by sending written notice to hello@nument.ai within 30 days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out. If you opt out, the Governing Law and jurisdiction provisions in Section 16 will apply.

15.5 Exceptions

Either party may bring an individual action in small claims court for claims within that court's jurisdiction. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for claims relating to intellectual property or unauthorized access to the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which NumentAI is incorporated, without regard to conflict of law principles. If the arbitration agreement in Section 15 is found unenforceable, you consent to the exclusive jurisdiction and venue of the federal and state courts located in the state in which NumentAI is incorporated.

17. Termination

By you: You may terminate your account at any time through the app settings or by emailing hello@nument.ai. Upon termination, your data will be deleted in accordance with our Privacy Policy.
By us: We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. We will provide notice where practicable.
Effect of termination: Upon termination, your right to use the Service immediately ceases. Sections 3, 3A, 4, 7, 10, 11, 12, 13, 14, 15, and 16 survive termination.

18. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you via email and/or a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and delete your account.

19. General Provisions

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and NumentAI regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, cyberattacks, government actions, or failures of third-party services.
No third-party beneficiaries: These Terms do not create any rights for any third party.
Electronic communications: By using the Service, you consent to receiving communications from us electronically (email, in-app notifications). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
